DealDocs is a document automation platform operated from Dubai Silicon Oasis, Dubai, United Arab Emirates. This page contains our Terms of Service, Privacy Policy, and Cookie Statement.

The short version: we are a platform company. You pay us platform fees for software that assembles working drafts and explains them in plain language. We are not a law firm, we do not provide legal advice, and no lawyer client relationship is ever created. Your documents are yours, and your own counsel is responsible for legal judgment on them.

Terms of Service

1. Who we are

DealDocs ("we", "us", "the platform") provides software that assembles draft NDAs, MOUs, and Letters of Intent from a maintained clause library, based on answers you provide, together with plain language explanations, completeness checks, and related workflow tools. We operate from Dubai Silicon Oasis, Dubai, United Arab Emirates.

2. What we are not

We are not a law firm. We are not licensed to practice law in any jurisdiction, we do not provide legal advice or legal opinions, we do not review your documents for your specific circumstances, and we do not act as counsel or agent for any user. Nothing on the platform, in a generated document, in a completeness check, in a briefing memo, or in an answer from the question feature is legal advice. No lawyer client relationship is created by using the platform. Descriptions such as "commonly included" or "frequently negotiated" are statements about patterns in documents generally, not recommendations for your situation.

3. Your responsibility

You are responsible for the accuracy of the information you enter, for deciding whether a generated document is appropriate for your purpose, and for obtaining advice from a qualified lawyer in the relevant jurisdiction before you rely on or sign any document. Templates are drafted with reference to common practice in each supported jurisdiction, but laws change and every deal is different.

4. Fees

Our fees are platform fees for the use of software: document assembly, formatting, downloads, storage, version history, and related features. They are not fees for legal services and are not calculated by reference to legal services. Fees are shown before you pay and are non refundable once a download has been unlocked, except where required by law.

5. Accounts

You must provide a valid email address and activate your account through the link we send you. You are responsible for keeping your password confidential. You must be at least 18 years old and using the platform for business purposes.

6. Your content

You own the information you enter and the documents generated from it. You grant us the limited licence needed to store, process, and display that content to you and to operate the platform. We do not sell your content and we do not use the content of your documents to market to third parties.

7. Acceptable use

You agree not to misuse the platform, including by attempting to access other users' data, reverse engineering the service, using it to violate any law, or reselling generated output as a template library.

8. Disclaimers

The platform and all output are provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose and non infringement. We do not warrant that any document is suitable, complete, enforceable, or up to date for your circumstances, or that the platform will be uninterrupted or error free.

9. Limitation of liability

To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the platform is limited to the platform fees you paid to us in the twelve months before the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, deals, data, or goodwill, even if advised of the possibility. Nothing in these terms excludes liability that cannot be excluded by law.

10. Indemnity

You will indemnify us against claims arising from your use of generated documents in breach of these terms, including any claim that treats the platform as your legal adviser.

11. Termination

You can delete your account at any time from your account page, which permanently deletes your data as described in the Privacy Policy. We may suspend or terminate accounts that breach these terms.

12. Governing law and disputes

These terms are governed by the laws applicable in the Dubai International Financial Centre (DIFC), and the courts of the DIFC have exclusive jurisdiction over any dispute, except where mandatory consumer law in your country of residence provides otherwise.

13. Changes

We may update these terms. Material changes will be notified by email or in the app before they take effect. Continued use after the effective date is acceptance.

Privacy Policy

Who is the controller

DealDocs, Dubai Silicon Oasis, Dubai, United Arab Emirates, is the controller of personal data processed through the platform. Contact: ceo@theupcapital.com.

What we collect and why

Processors and transfers

We use a small number of service providers as processors: database hosting (Neon, Postgres hosting in the United States), email delivery, and, where the question feature uses AI assistance, Anthropic as a processor of the document content needed to answer your question. Where data leaves your jurisdiction we rely on appropriate safeguards, including standard contractual clauses. We do not sell personal data, and we do not use your document content for advertising or to train models.

Retention

Account data and documents are kept while your account exists. Deleting your account permanently deletes your projects, documents, versions, questions, and personal data; invoice records may be retained where accounting law requires. Password reset and activation tokens expire automatically.

Your rights

Wherever you are, and specifically under the GDPR if it applies to you, you have the right to access, rectify, erase, restrict, and object, and the right to data portability. In the app: Account, Download my data exports everything we hold about you as JSON, and Account, Delete my account erases it. You can also contact ceo@theupcapital.com, and you have the right to lodge a complaint with your supervisory authority.

Security

Passwords are stored using scrypt hashing, sessions use httpOnly cookies, data is encrypted in transit, and full card numbers never touch our servers.

Cookie Statement

DealDocs uses exactly one cookie: a strictly necessary session cookie (dd_session) that keeps you signed in. It contains a random token, nothing else. We use no analytics cookies, no advertising cookies, and no third party trackers, which is why you do not see a cookie banner. Your wizard progress is stored in your own browser's local storage and never leaves your device until you choose to save a document.

These documents were prepared for a platform operating from the UAE and serving users worldwide, and are pending review by counsel. If any provision is unenforceable where you live, the remainder still applies.
